1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SoleMove Oy ("SoleMove," "we," "us," or "our") governing your access to and use of the SoleMove platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

2. Description of Services

SoleMove provides a cloud-based software platform for managing student and staff mobility programmes in higher education institutions. Our services include:

  • Student application and mobility management
  • Online Learning Agreement creation and processing
  • Partnership and agreement management
  • EWP network integration
  • Reporting and analytics tools
  • Related support and training services

3. User Accounts

3.1 To access our services, institutions must create an account and designate authorized users.

3.2 You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account.

3.3 You must notify us immediately of any unauthorized use of your account or any other security breach.

3.4 You must provide accurate and complete information when creating an account and keep it updated.

4. Acceptable Use

You agree not to:

  • Use the services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Transmit any viruses, malware, or other harmful code
  • Use the services to infringe on others' intellectual property rights
  • Resell, sublicense, or redistribute the services without authorization
  • Remove or modify any proprietary notices from the platform

5. Data and Privacy

5.1 Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5.2You retain ownership of all data you submit to the platform ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the services.

5.3 We implement appropriate technical and organizational measures to protect Customer Data in accordance with GDPR and applicable data protection laws.

5.4 For institutions processing student data, a separate Data Processing Agreement (DPA) may be required.

6. Fees and Payment

6.1 Fees for our services are set forth in the applicable subscription agreement or order form.

6.2 Unless otherwise agreed, fees are due annually in advance.

6.3 All fees are exclusive of applicable taxes, which you are responsible for paying.

6.4We may modify pricing upon renewal with 60 days' prior notice.

7. Intellectual Property

7.1 SoleMove and its licensors retain all rights to the platform, including all software, designs, trademarks, and documentation.

7.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the services during the subscription term.

7.3 Feedback you provide about the services may be used by us to improve the platform without obligation to you.

8. Service Availability

8.1 We strive to maintain high availability of our services but do not guarantee uninterrupted access.

8.2 We may perform scheduled maintenance with reasonable advance notice.

8.3 Enterprise customers may be eligible for Service Level Agreements (SLAs) with specific uptime guarantees.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLEMOVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.2 Our total liability under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

9.3 These limitations apply regardless of the theory of liability.

10. Termination

10.1Either party may terminate the subscription at the end of the current term with 60 days' prior notice.

10.2 We may suspend or terminate access immediately for material breach of these Terms.

10.3 Upon termination, you may request export of your Customer Data within 30 days.

11. Governing Law and Disputes

11.1 These Terms are governed by the laws of Finland, excluding conflict of law provisions.

11.2 Any disputes shall be resolved in the courts of Helsinki, Finland, unless otherwise agreed.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified with at least 30 days' notice. Continued use of the services after changes take effect constitutes acceptance of the modified Terms.
